ARTICLES OF INCORPORATION
OF
WIKIMEDIA PHILIPPINES, INCORPORATED


KNOW ALL MEN BY THESE PRESENTS:

We, the undersigned Filipino citizens, all of legal age and residents of the Philippines, have on this day voluntarily agreed to form a Corporation, in accordance with the laws and regulations of the Republic of the Philippines.

ARTICLE 1: Name

The name of the corporation (hereinafter called "the Association") shall be Wikimedia Philippines, Incorporated. In the Filipino language, the name of the Association shall be Inkorporasyong Wikimedia Pilipinas.

ARTICLE 2: Aims and Objectives

The aims and objectives of the Association are:

  1. To engage in the promotion of the projects of the Wikimedia Foundation, Inc., a non-profit organization incorporated under the laws of the state of Florida in the United States of America, through their use in the Philippines as:
    1. Free, open-content reference tools available to the Philippine populace through the use of computers and the Internet, and
    2. Helpful education materials that can be used in the Philippine educational setting without additional burden of cost except through the needed use of a computer and an Internet connection
  2. To promote the use of native Philippine languages, including Filipino, in educational and reference materials, such as encyclopedias, dictionaries and textbooks, and
  3. To aid in the defense of free content in the Philippines and the facilitation of the creation of such content as mandated thereof

ARTICLE 3: Duration

Subject to existing regulations, the Association shall exist for an indefinite period of time.

ARTICLE 4: Organization and Classification

The Association is hereby organized as a non-stock corporation hereby duly registered with the Securities and Exchange Commission (SEC). In addition, the Association shall hereby adopt a membership-driven structure in accordance with existing regulations.

The Association is hereby declared a non-profit organization, subject to the approval of the SEC. All assets of the Association shall only be used in the furtherance of the aims and objectives stated in Article 2 of these Articles of Incorporation, and no asset of the Association shall be used, whether directly or indirectly, for the benefit of any of its members, except in cases of bona fide compensation due to expenses incurred on the behalf of the Association.

In furtherance of its aims, the Association is also hereby declared a charitable organization, subject to the approval of the Department of Social Welfare and Development (DSWD).

ARTICLE 5: Capital

Subject to the requirements of the SEC, the Association shall function with an initial working capital of no less than one million pesos (P1,000,000), to be funded through all legal means, including the receipt of donations and grants, and the collection of membership fees from members of the Association.

The working capital of the Association can be increased or decreased with the consensus of the Board of Trustees. However, such decision shall not decrease working capital to an amount below one million pesos.

ARTICLE 6: Office

The Association shall maintain its main, primary office at (address). Branch offices proposed to be opened in locations other than the location of the main office shall be subject to the approval of the Board of Trustees.

ARTICLE 7: Trustees

The organization and function of the Association's Board of Trustees shall be specified in the Bylaws. However, the Board of Trustees shall consist, as a general guideline, of no less than five (5) and no more than ten (10) trustees at any given time.
