Corporate Governance

Since 27 April 2016 Intesa Sanpaolo has adopted a single-tiered corporate governance system. Therefore, I would like to update the entry by editing the paragraph "Corporate Governance" as follows below.

In bold I have highlighted what is already on the page (I have partly re-edited the piece to further improve the content). As the management board and the supervisory board do not exist anymore, I would also delete the tables listing their members and replace them with one table dedicated to the board of directors.

Advice on how to improve my proposed text would be more than welcome.


Corporate Governance

Intesa Sanpaolo has a single-tiered corporate governance system in which the Board of Directors alone is in charge of strategic supervision and control. The latter duty is carried out by the Management Control Committee instead of the Board of Directors itself. The bank adopted this single-tiered system in April 2016, replacing the former two-tiered structure. Previously, the supervisory board exercised control and strategic management functions, whereas the management board oversaw the management of the company’s business. The supervisory board was appointed by shareholders in their annual meeting. It supervised the activities carried out by the management board and, in particular, approved the main strategic initiatives proposed by the management board. The management board appointed one of its members to be the CEO.[1][2]

@Fabrizio.Paschina: I've just seen your page, and it seems that you have a COI. Use the {{request edit}} template instead. Also see Template:Connected contributor (paid) about {{connected contributor (paid)}} usage here. You need to declare the articles you're involved with, even if it's just editing the talk page (such as the case here) on your page. @Hexafluoride: - Thank you very much for your help and advice. I have both added sources that back up my proposed changes and disclosed here my COI (through the "connected contributor" template) as I did when I created my profile on my user page. Furthermore, I have added the "request edit" template. I hope I have done everything correctly.

@Fabrizio.Paschina: Can you edit the text above exactly as you propose it be? Mainly add the in-line references into the text (just like you'd edit a regular article), and without bold or italic text. So you want to replace the entire section with the edit above? @Hexafluoride: - Thank you again for being so helpful. Yes, I'd like to replace the paragraph currently in the article with the one I have written above, because the corporate governance system has changed. I have also re-edited the text (without any bold or italic as you requested) as well as added the table containing the members of the Board of Directors and sources. The article does not include important information

Intesa Sanpaolo acquired UBI Banca (the four or fifth Italian bank for revenues) increasing even mere its dimention and its importance in Italy. This info is available on it.wiki https://it.wikipedia.org/wiki/Intesa_Sanpaolo#Acquisto_con_OPAS_di_UBI_Banca and of course on all the major newspapers

"Major Shareholders" section updatings

Hi everyone, I would like to share with you a brief reflection on the update of the "Major Shareholders" section before doing so.

Just below the table there is a paragraph with some data on the shareholdings held by some foundations referring to 2013, which are obsolete and now impossible to update, because they are no longer compatible with the current structure of the Group.
